INTRODUCTION

Welcome to Baqqalati. Baqqalati is an online marketplace platform that connects customers with independent retailers including supermarkets, grocery stores, pharmacies, florists, bakeries, electronics stores, beauty stores, pet stores, and other approved merchants.

By accessing, browsing, registering, or placing an order through Baqqalati, you agree to be bound by these Terms & Conditions. If you do not agree with these Terms, please do not use the Platform.

DEFINITIONS

• "Baqqalati", "we", "our", or "us" means Baqqalati Marketplace.
• "Customer" means any user purchasing products through the Platform.
• "Retailer" means an independent merchant selling products through the Platform.
• "Platform" means the Baqqalati website, mobile applications, services, and related systems.
• "Order" means any request submitted by a customer through the Platform.

MARKETPLACE ROLE

Baqqalati operates as a technology marketplace platform.

Baqqalati does not manufacture, produce, own, inspect, warehouse, or guarantee products offered by third-party retailers unless expressly stated otherwise.

The sales contract for products is entered into directly between the customer and the selected retailer.

Retailers remain solely responsible for:

• Product quality
• Product safety
• Product legality
• Product descriptions
• Product warranties
• Product pricing
• Regulatory compliance

3B. MARKETPLACE DISCLOSURE & CUSTOMER ACKNOWLEDGEMENT

Baqqalati operates solely as an online marketplace and technology platform that facilitates transactions between customers and independent retailers.

Baqqalati is not the seller, supplier, manufacturer, distributor, importer, warehouse operator, packer, fulfillment provider, or delivery provider of products offered by third-party retailers unless expressly stated otherwise.

Customers expressly acknowledge and agree that:

• Products displayed on the Platform are offered and sold by independent retailers
• The purchase contract is entered into directly between the customer and the selected retailer
• Baqqalati does not take ownership or possession of products listed by retailers
• Baqqalati does not physically inspect, verify, test, store, pack, prepare, label, handle, transport, or deliver products sold by retailers
• Baqqalati has limited visibility into retailer inventory, stock conditions, storage practices, preparation processes, handling procedures, expiry dates, packaging conditions, or fulfillment activities
• Product descriptions, images, specifications, ingredients, nutritional information, pricing, availability, expiry dates, and product-related representations are supplied by retailers and/or manufacturers
• Retailers remain solely responsible for product quality, product safety, legal compliance, authenticity, warranties, labeling, expiry dates, and customer satisfaction relating to products sold through the Platform

Customers understand and accept that Baqqalati cannot guarantee:

• Product quality
• Product freshness
• Product suitability
• Product authenticity
• Product availability
• Product accuracy
• Product condition upon collection or delivery
• Retailer compliance with manufacturer recommendations

Any claims relating to products, including but not limited to product defects, product shortages, product quality concerns, incorrect items, damaged products, expired products, allergic reactions, manufacturer defects, product warranties, shall primarily be the responsibility of the retailer and/or manufacturer.

To the maximum extent permitted by applicable law, Baqqalati shall not be liable for any loss, damage, injury, cost, claim, or dispute arising from products sold by independent retailers through the Platform.

By placing an order through Baqqalati, customers expressly acknowledge, understand, and accept the marketplace nature of the Platform and agree that Baqqalati's role is limited to providing technology services that enable transactions between customers and retailers.

ELIGIBILITY

Users must be at least 18 years old and legally capable of entering into binding contracts under the laws of the Kingdom of Saudi Arabia. Users under 18 may only use the Platform under the supervision of a parent or legal guardian.

ACCOUNT REGISTRATION

You agree to:

• Provide accurate information
• Maintain updated account details
• Protect your login credentials
• Keep your password confidential
• Notify Baqqalati of unauthorized account activity

Baqqalati reserves the right to suspend or terminate accounts that contain inaccurate information or engage in suspicious activity.

PRODUCTS & AVAILABILITY

Products displayed on the Platform are supplied by independent retailers. Product images are for illustrative purposes only.

Actual products may vary in:

• Packaging
• Appearance
• Weight
• Color
• Ingredients
• Specifications

All products are subject to availability. Retailers may remove unavailable items from orders at any time.

PRICING

Prices displayed on the Platform may change without notice.

In the event of pricing errors, technical errors, incorrect promotions, or obvious mistakes:

While the website strives to provide accurate products information (such as stock availability, pricing, products features, images and specifications) and services information, typographical errors may occur.

The colors of our products that appear on the Website will be displayed as accurately as possible. However, as the actual colors you see will depend on your monitor, we cannot guarantee that your monitor display of any color will be accurate.

Publishing any form of product/service information (including -but not limited to- marketing proposal, ads, offers, magazines and flyers) on the website does not guarantee stock, offer and price availability online or in store.

Errors may occur in the process of providing product/service and pricing information on the website. The website cannot confirm the pricing and total cost of a product/service until online checkout is completed. In the event that a product/service is listed and invoiced at an incorrect price or with incorrect information due to an error in pricing or product/service information, the website have the right, to either contact you for instructions or cancel your order and notify you of such cancellation. In the event that we accept and process your order online, the total cost will be debited to your credit card account and notifying you by email that the payment has been processed.

Store prices will sometimes differ from the website prices and/or vice versa. Stock availability and pricing are subject to change without prior notice.

Please note that prices for vegetables, fruits, and meat may vary based on the actual weight at the time of packing. The final charged amount will reflect the precise weight of the items.

Baqqalati and the retailer reserve the right to cancel or correct the affected order.

PROMOTIONS & COUPONS

Promotions:

• Cannot be combined unless specifically stated
• May be limited by customer, account, mobile number, household, or address
• May be withdrawn without notice

We reserve the right, at our sole discretion, to limit the quantity of items selected per client, per household or per order on "My shopping cart". Your shopping cart capacity is limited to a maximum quantity of two (2) pieces per exclusive offer.

The said limitations may be applicable to orders placed by using the same account, the same credit card, the same IP address and also to orders that use the same billing and/or shipping address.

Any abuse of promotional offers may result in account suspension and cancellation of benefits.

WEIGHTED PRODUCTS

Certain products are sold by weight, including:

• Fruits
• Vegetables
• Meat
• Poultry
• Seafood
• Deli
• Cheese
• Bakery items

Actual packed weight may vary from estimated weight shown online. Customers agree that reasonable weight variations are acceptable. Final charges may be adjusted according to actual packed weight. Weight variances up to 10% shall generally be considered acceptable unless otherwise required by applicable law.

PRODUCT SUBSTITUTIONS

If a product becomes unavailable after an order is placed, the retailer may:

• Offer a substitute product
• Contact the customer for approval
• Remove and refund the unavailable item

Customers may select "No Substitutions" where such option is available.

CLICK & COLLECT

Baqqalati currently operates primarily as a Click & Collect platform.

• Customers are responsible for collecting orders from the selected retailer
• Customers should inspect products at the collection point
• Risk and ownership transfer to the customer upon collection

COLLECTION WINDOW

Unless otherwise stated, orders should be collected within 24 hours after collection notification.

Perishable products including fresh food, frozen food, chilled food, bakery items, and flowers may be discarded after the collection period for safety and quality reasons.

Uncollected orders may be cancelled without further notice.

FUTURE DELIVERY SERVICES

If home delivery services become available, delivery times are estimates only. Baqqalati does not guarantee delivery within any specific timeframe.

Delays caused by traffic, weather, public holidays, technical failures, retailer preparation delays, government restrictions, or force majeure events shall not create liability for compensation.

PAYMENTS

Baqqalati may accept:

• Credit Cards
• Debit Cards
• Apple Pay
• Mada
• STC Pay
• Buy Now Pay Later solutions
• Digital Wallets
• Cash on Collection
• or other approved payment methods

Payments must be authorized before order processing.

ORDER CANCELLATION

Customers may cancel orders before retailer acceptance. Once preparation begins, cancellation may not be possible, particularly for fresh products, perishable products, customized products, and prepared foods.

Order Cancellation by Customer:

To process cancellation of an order, please contact us. You can cancel the order due to any of the following reasons:

• The order is not picked on time
• The order is not ready to be collected on the requested timeslot
• Order received by you does not match with what you have ordered

Order cancellation by Baqqalati:

Baqqalati reserves the right to cancel the order due to any of the following reasons:

• Payment rejection
• Orders placed during prices changes, or orders placed on products with wrong prices changes
• Orders placed during stock changes
• Order didn't meet any of our e-shopping site terms & conditions
• Orders containing perishable items must be collected on the selected date to avoid automated cancellation
• Wrong delivery address given by customer or wrong contact details or due to customer is not reachable

In the event that we are unable to supply the full or portion of the order, we will inform you accordingly. A full or portion refund will be given -through the selected method of payment- where you have already been charged for.

RETURNS & REFUNDS

Refunds and returns shall be governed by Saudi consumer protection laws.

Certain products may not be eligible for return, including:

• Perishable products, unless they were rotten/damaged prior to purchase
• Fresh food
• Flowers
• Opened personal care products
• Tobacco products are not eligible for return or exchange
• Customized products
• Clothing, newspapers, magazines, books and other items of personal nature cannot be returned

Proof of purchase may be required. Photographs may be requested for quality claims.

Your satisfaction with items purchased in our stores is important to us. Returns, refunds, and exchanges are subject to the following company policies:

• The original purchase receipt must be provided at the time of return
• Only one return transaction is allowed per order
• The item must be returned to the same branch from which it was purchased
• The item must be returned within 7 days of purchase for the click & collect but no returns are accepted for the home delivery

QUALITY CLAIMS

Quality concerns should be reported within:

• 24 hours for fresh food
• 24 hours for flowers
• 48 hours for refrigerated products
• 7 days for non-perishable products

Late claims may not qualify for refund or replacement.

Baqqalati does not provide medical advice. Information displayed on the Platform is provided for informational purposes only. Customers must consult qualified healthcare professionals before using medications, supplements, or healthcare products.

Baqqalati shall not be liable for:

• Allergic reactions
• Side effects
• Misuse of products
• Health outcomes

Retailers and manufacturers remain responsible for product compliance and safety. Baqqalati must not be used for medical emergencies.

CHERRY PICKER AI ASSISTANT

Cherry Picker is Baqqalati's AI-powered assistant.

Cherry Picker may:

• Answer customer questions
• Recommend products
• Show promotions
• Suggest alternatives
• Display favorite products
• Display previous orders
• Assist with repeat purchases
• Provide shopping guidance

Cherry Picker provides automated responses for informational purposes only.

Cherry Picker does not provide:

• Medical advice
• Legal advice
• Financial advice
• Nutritional advice
• Professional consultation

AI-generated information may occasionally be inaccurate, incomplete, or outdated. Customers remain responsible for reviewing product information before purchasing.

PERSONALIZATION CONSENT

By using Baqqalati and Cherry Picker, you acknowledge and agree that the Platform may use:

• Purchase history
• Order history
• Favorite products
• Loyalty information
• Search activity
• Browsing activity
• Saved preferences

to provide personalized recommendations, reminders, promotions, and customer assistance.

Such processing shall be conducted in accordance with Saudi PDPL requirements and Baqqalati's Privacy Policy.

ACCEPTABLE USE

A. CYBERSECURITY, UNAUTHORIZED ACCESS & PLATFORM PROTECTION

Baqqalati is committed to maintaining the security, integrity, and availability of its Platform and user data.

Users shall not, directly or indirectly:

• Attempt to gain unauthorized access to the Platform, servers, databases, networks, APIs, retailer systems, customer accounts, or related infrastructure
• Circumvent, disable, interfere with, or compromise security measures implemented by Baqqalati
• Introduce viruses, malware, ransomware, spyware, malicious code, bots, scripts, or other harmful technologies
• Conduct denial-of-service (DoS), distributed denial-of-service (DDoS), penetration attacks, vulnerability exploitation, or any activity intended to disrupt Platform operations
• Access, collect, copy, scrape, harvest, download, or extract data without prior written authorization
• Attempt to reverse engineer, decompile, disassemble, or otherwise obtain source code, algorithms, or proprietary technologies used by Baqqalati
• Use automated tools, robots, crawlers, or artificial means to overload, monitor, or interfere with Platform performance
• Access another user's account, personal information, order history, loyalty information, or retailer data without authorization

Any actual or attempted unauthorized access, cyberattack, security breach, misuse of data, or interference with Platform operations may result in:

• Immediate account suspension or termination
• Cancellation of orders and services
• Reporting to law enforcement authorities
• Civil and criminal legal proceedings
• Claims for damages, losses, costs, and legal expenses incurred by Baqqalati or affected parties

While Baqqalati implements commercially reasonable technical, organizational, and security measures to protect the Platform and personal data, no internet-based service can guarantee absolute security.

In the event of a cybersecurity incident, unauthorized access, or data breach, Baqqalati may take any action deemed necessary to protect users, retailers, systems, infrastructure, and business operations, including temporary service suspension, account restrictions, password resets, enhanced verification procedures, and regulatory notifications where required by law.

Baqqalati shall not be liable for losses resulting from unauthorized access caused by:

• User negligence
• Weak passwords
• Sharing login credentials
• Compromised user devices
• Third-party attacks beyond Baqqalati's reasonable control
• Internet or telecommunications failures

Users are responsible for maintaining appropriate security measures for their own devices, accounts, passwords, and internet connections.

B. Additional Restrictions

Users and Partners shall not:

• Commit fraud
• Abuse promotions
• Create multiple accounts for benefits
• Upload malicious software
• Interfere with platform operations
• Scrape platform data
• Harass employees or retailers
• Use stolen payment methods

Baqqalati may suspend accounts without notice for violations.

INTELLECTUAL PROPERTY

All content including logos, designs, graphics, text, software, and Cherry Picker branding remains the property of Baqqalati or its licensors. Unauthorized use is prohibited.

PRIVACY

As you use the website and communicate with us electronically, you also consent to receive communications from us electronically, by means of emails, newsletters or by posting notices such as disclosures on the website. You agree that any communication that we provide to you electronically satisfy any legal requirement, as in writing.

We may monitor, record, store and use any telephone, email or other electronic communications with Your Information for training purposes, to check instructions given to us and to improve the quality of our customer service.

Personal data is processed in accordance with:
